Terms and Conditions

These Centrue Terms and Conditions (these "Terms") constitute a legally binding agreement between you ("you" or "your") and Centrue AG ("Centrue," "we," "us," or "our"), a technology company registered in Switzerland. These Terms govern your use of Centrue's tools, APIs, SDKs, technical environments, software infrastructure, and related documentation and services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of a company or organisation, you represent and warrant that you have the authority to bind such entity to these Terms. Centrue does not provide any regulated financial services and is not a licensed financial institution.


1. ELIGIBILITY

To use the Services, you must:

  • Be at least 18 years old and legally capable of entering into binding contracts
  • Have full legal capacity and authority to act on behalf of the entity you represent (if applicable)
  • Use the Services solely for lawful and professional purposes and not for personal, consumer, or household use.

We reserve the right to verify your age and identity and may restrict or revoke access if eligibility criteria are not met.


2. ABOUT CENTRUE

Centrue AG is a technology and software development company headquartered at Gartenstrasse 6, CH-6300 Zug, Switzerland. We offer infrastructure tools and APIs to support digital products and services across sectors. Centrue is not a bank, electronic money institution, payment service provider, investment firm, or other regulated financial entity.


3. SERVICES COVERED BY THESE TERMS

These Terms apply to all Centrue-provided:

  • APIs, SDKs, dashboards
  • Hosted environments including staging and sandbox environments
  • Integration guides and documentation
  • Associated updates, patches, and enhancements
  • Support and onboarding materials

Access to certain Services may require registration and identity verification. Services may change or evolve over time, and Centrue reserves the right to withdraw or update any aspect of the Services at its sole discretion.


4. ACCOUNT REGISTRATION AND RESPONSIBILITIES

If registration is required, you agree to:

  • Provide complete and accurate information
  • Maintain the confidentiality of your credentials
  • Immediately notify us of any unauthorised use or security incident
  • Not transfer or assign your account without prior written approval from Centrue.

You are solely responsible for all activities conducted through your account and any consequences thereof.


5. USE OF SERVICES

You may use the Services for the purpose of integrating Centrue’s tools into your own business infrastructure or services ("Your Services"). Your use must comply with these Terms and all applicable legal and regulatory requirements.
You may not:

  • Use the Services for any unlawful, fraudulent, or misleading purpose
  • Access or attempt to access non-public systems without authorisation
  • Interfere with the performance or availability of the Services
  • Introduce any malicious code or harm Centrue’s systems in any way

6. DATA PRIVACY & USER INFORMATION

You agree to comply with all applicable data protection and privacy laws, including the EU General Data Protection Regulation ("GDPR"), the UK GDPR, the Swiss Federal Act on Data Protection ("FADP"), and any other relevant regulations.
You are responsible for:

  • Implementing appropriate data protection and security measures
  • Publishing a clear privacy policy for end users of Your Services
  • Notifying Centrue within 72 hours of discovering a data breach involving the Services
  • Ensuring no personal data of individuals under 18 is processed without lawful consent

Centrue processes personal data only to the extent necessary to deliver the Services and in line with our Privacy & Data Handling Summary.


7. INTELLECTUAL PROPERTY

Centrue and its licensors retain all rights, title, and interest in the Services, including all associated intellectual property rights. No rights are granted to you except as expressly provided in these Terms.
You agree not to:

  • Copy, modify, create derivative works of, or distribute the Services
  • Reverse-engineer or extract source code from any component of the Services
  • Use our trademarks, logos, or brand assets without written permission
  • Infringe upon third-party intellectual property through your use of the Services

8. FEEDBACK AND CONTRIBUTIONS

You may provide feedback, ideas, or suggestions to Centrue (“Feedback”). You hereby grant Centrue a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable licence to use, modify, and commercialise such Feedback without any compensation.


9. CONFIDENTIALITY

If you receive any non-public, confidential, or proprietary information from Centrue, you agree to:

  • Treat it as confidential and use it only for legitimate purposes under these Terms
  • Not disclose it to third parties without prior written consent
  • Take all reasonable measures to prevent unauthorised access

10. THIRD-PARTY SERVICES

You may use the Services in conjunction with third-party platforms or products. Centrue is not responsible for:

  • The quality or reliability of any third-party product
  • Compliance of third-party services with law or regulation
  • Any loss or damage caused by use of or reliance on third-party systems

11. RESTRICTIONS

You agree not to:

  • Use the Services to violate any applicable law or regulation
  • Engage in illegal activity such as money laundering, financing of terrorism, or sanction evasion
  • Misrepresent your identity or the nature of your services
  • Submit harmful or infringing content via the tools

12. TERMINATION

Centrue may suspend or terminate your access if you:

  • Breach these Terms or any applicable law
  • Cause reputational harm to Centrue
  • Engage in fraudulent or harmful conduct

Upon termination:

  • Your right to use the Services ends immediately
  • You must delete all Centrue materials in your possession
  • Sections concerning confidentiality, data protection, IP, indemnity, and limitations of liability will survive

13. WARRANTIES & DISCLAIMERS

Centrue provides the Services on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim:

  • All express or implied warranties of merchantability, fitness, or non-infringement
  • Any guarantee of error-free performance or uninterrupted access
  • Liability for reliance on the Services in regulatory or business processes

You use the Services at your own risk.


14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Centrue shall not be liable for

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss, corruption, or service outages

Our total liability is limited to the greater of CHF 250 or the amount paid by you for use of the Services in the three months prior to the claim.


15. INDEMNIFICATION

You agree to indemnify and hold harmless Centrue and its directors, affiliates, employees, and contractors from any claims, liabilities, losses, or expenses (including legal fees) arising out of:

  • Your use or misuse of the Services
  • Your violation of these Terms or any applicable law
  • Any third-party claims relating to Your Services or user content

16. EXPORT CONTROLS AND SANCTIONS

You agree to comply with all applicable export control laws and not use the Services in any jurisdiction subject to sanctions, or for the benefit of any individual or entity designated on sanctions lists (e.g. OFAC, UN, EU).


17. DISPUTE RESOLUTION AND GOVERNING LAW

Before initiating legal proceedings, you agree to attempt resolution informally by contacting legal@centrue.com. If unresolved, any dispute shall be exclusively governed by the laws of Switzerland, with jurisdiction in the courts of Zug.


18. AMENDMENTS

Centrue may update these Terms periodically. Changes will become effective upon publication unless otherwise stated. We will notify you where required by law or regulation. Continued use of the Services constitutes acceptance of the amended Terms.


19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Centrue concerning your use of the Services and supersede any prior agreements or understandings.


20. MISCELLANEOUS

  • You may not assign these Terms without Centrue's written consent
  • If any provision is found unenforceable, the remainder shall remain in effect
  • No waiver of rights shall be deemed ongoing without explicit agreement
